About the company

The Swiss healthcare system is expensive and inefficient: only 3% of expenditure is channelled into prevention, although 80% of healthcare costs are caused by chronic diseases that are often preventable. This is precisely where CARE comes in. What used to be accessible only via doctors' appointments, paper printouts with lab results and medical jargon can now be tracked more easily, comprehensibly and digitally. Since our foundation in 2022, we have been strengthening people's health literacy with easily accessible health tests, an intelligent app and medical expertise. This enables everyone to track, understand and act on their health before symptoms arise.

More and more people are looking for more control over their health - as can be seen from the boom in wearables that record sleep, activity and heart rate data. The next milestone in preventive healthcare is now imminent: the digital tracking of scientifically based biomarkers such as cholesterol, blood sugar, muscle mass, micronutrients and much more.

FAQ

Why did you decide in favour of crowdinvesting as financing?

Because health affects us all - and everyone can be part of the solution. With crowdinvesting, we are opening up CARE to a committed community and also enabling smaller investors to participate and benefit from our success. At the same time, we are creating a strong basis for organic growth: through personal recommendations, network effects and new brand ambassadors from among our users.

How did you come up with the company valuation?

The valuation of CHF 15.5 million is based on the sales multiplier method. Based on our realised turnover of CHF 1.7 million in 2024, this results in a multiplier of 9.1x. Taking into account the strong sales growth in the first quarter of 2025 (CHF 582k with five active locations), linear extrapolation - without additional location openings - results in annual sales of over CHF 2.3 million, corresponding to a multiplier of 6.7x.

As we are currently in the scaling phase and plan to have 10 active locations by the end of 2025, we expect sales of around CHF 5.0 million for 2025 as a whole. On this basis, the effective sales multiple is reduced to 3.1x - a conservative value compared to standard market multiples for high-growth digital health platforms.

In comparison, the US company Function Health, which pursues a similar value proposition in the field of preventive diagnostics, is valued at around USD 2.5 billion with estimated annual sales of USD 100 million - which corresponds to a multiple of around 25x.

Do I have voting rights? 

No, crowdinvesting is carried out without voting rights. Strategic decisions remain with the founding team and the management - so we can act efficiently and flexibly.

Will I receive dividends?

No dividend payment is currently planned. We invest specifically in growth. Investors will receive a financial return in the event of an exit or sale of shares.

Is an exit planned?

In the long term, yes. The aim is to make CARE so successful that a sale to a strategic partner such as Labore or an IPO will be possible - with a corresponding profit for all investors.

What Are Preferred Participation Certificates?

A Preferred Participation Certificate is a type of participation certificate, meaning it is an equity security without voting rights, that is economically equivalent to preferred shares. In other words, it ranks pari passu with preferred shareholders, meaning holders of Preferred Participation Certificates enjoy the same economic rights as holders of preferred shares.

Are There Provisions in the Event of a Sale (Tag-Along / Drag-Along Rights)?

Yes, there are provisions in place to protect and bind minority investors. Holders of participation certificates are entitled to tag-along rights and are subject to drag-along obligations, each of which are linked to the corresponding provisions of the Shareholders’ Agreement.

How Is the Liquidation Preference Structured for Preferred Participation Certificates?

Preferred Participation Certificates carry a 1x non-participating liquidation preference. This means that in the event of a sale or IPO, you will receive at least your invested capital back before any distributions are made to other shareholders. However, if the per-share exit proceeds exceed your initial investment, you will naturally receive the higher amount.

Biography

Roman Walser is a specialist in general and internal medicine FMH with a specialisation in sports and training medicine SEMS. After completing his training at Bülach and Triemli hospitals in Zurich, he spent two years as a GP in Winterthur, during which time he also looked after top athletes as a club doctor. In 2023, he was offered the opportunity to join CARE and is helping it to rethink preventive medicine in an innovative and digital way. He has been its Medical Director since February 2025.
